Introduction
Welcome to Ufleex, an all-in-one platform designed to revolutionize the way you move, deliver, and travel. These Terms and Conditions ("T&Cs") govern your use of the Ufleex platform. By accessing or using the Ufleex platform, you agree to be bound by these T&Cs.

Common Definitions
- Member : A Driver, Passenger, Mover, or Client registered user of the Service.
- Driver : A person using the Service and offering spare seats in their vehicle to share with other Passengers.
- Mover : A person using the Service and offering spare space in their vehicle to transport items. Movers also perform the physical work of carrying items in and out of the client’s locations.
- Passenger : A person using the Service and booking seats in a Driver’s vehicle.
- Client : Someone using the service and booking seats in a Driver’s vehicle or booking space in a Mover’s vehicle.
- Account : An account created by a Member to access the Service.
- Order : An event occurring between an origin and a destination at a given date and time, including details such as a pick-up point and drop-off point. For rides, additional information includes space for personal items and the number of seats available. For moving, additional information includes the list of items, weight, number of items, types, number of stairs, and number of helpers requested.
- Helpers : People that assist with the carrying, loading, and unloading of items.
- Booking : The act of paying the Contribution for an Order through the Service before the Order happens.
- Request : A request posted by a Passenger looking for a Trip between an origin and a destination on a particular date, or a Client looking for space for moving or delivery.
- Delivery : When you need Mover space in the vehicle to transport one or more items.
- Contribution : A sum of money agreed and paid by the Passenger to the Driver/Mover to cover the costs of a particular Order and cannot accrue profit for the Driver.
- Booking Fee : A service fee added atop of a Contribution and paid by the Passenger when Booking on an Order.
- Payment : The total amount of money paid by a Passenger when Booking on a Trip (Contribution + Booking fee).
- Payout : The Contributions accrued from Bookings on a Trip and sent back to the Driver or Movers using their preferred Payout method.
- Payout Fee : A service fee deducted from a Driver's or Mover's Payout from the Contributions they receive from Passengers on a Trip.
- Payout Method : The method used to send a Payout to a Driver or Mover, either Direct Deposit through Stripe or PayPal.
- Taking a Ride , Carpool , or Carpooling : The act of sharing a Trip in a vehicle amongst a Driver and Passenger(s) in exchange for a Contribution.
- Moving : the act of transporting items from origin location to a destination using the mover's vehicle. this includes the physical act of carrying, loading, and unloading items into and out of the vehicle, as well as managing the logistics of the move, such as determining the necessary space, weight considerations, and any special requirements for the items being transported.
User Responsibilities
- Account Verification:
Members must verify their Accounts through email or phone number. Ufleex does not investigate a Member's reputation or background, and Members are responsible for determining the suitability of other Members.
- Member Conduct:
Members must act responsibly and exercise good judgment. This includes, but is not limited to:
- Driving safely and adhering to traffic laws.
- Respecting the rights of third parties.
- Not using the Service for unauthorized purposes or for commercial activities unless agreed upon with Ufleex.
- Being at least 18 years old and capable of entering into legally binding contracts.

- Reporting Misconduct:
If you encounter inappropriate behavior or misconduct, report it immediately to Ufleex and the appropriate authorities.
Service Use
Ufleex is a platform facilitating the connection between Drivers, Movers, Passengers, and Clients. All transactions are agreements between these parties, and Ufleex is not liable for any disputes or issues arising from these transactions.
In contrast, Movers are allowed to generate profit from their services. Contributions for moving services may include fees that allow Movers to cover their costs and earn a profit for their labor and transport services.

- Payouts and Fees :
Accepting the Terms
By downloading, accessing, installing, or using any aspect of the Ufleex platform, you agree to be bound by these T&Cs. If you do not agree to these T&Cs, you may not access or use the Ufleex platform.
Modifications
We reserve the right to change these T&Cs from time to time. The T&Cs applicable to you are the ones in place when you access or use the Ufleex platform. We will notify you of any changes by revising the date at the top of these T&Cs and, in some cases, providing additional notice.
Payment Terms
- Fees : All fees are clearly stated on the platform.
- Payment Methods : Accepted payment methods include [Credit/Debit Cards, Digital Wallets, etc.].
- Refunds : Refunds will be processed according to our refund policy.
Cancellation Policy
- Customers : Cancellation fees may apply based on the service type and notice period.

- Platform Liability: Ufleex is not liable for the actions of service providers.
- Insurance: All service providers must have valid insurance coverage.
Intellectual Property
Ownership: Ufleex owns the intellectual property rights to the platform and its content.
Prohibited Use of the Platform
- Post or otherwise make available any content that is false, fraudulent, abusive, offensive, or illegal.
- Infringe upon the intellectual property rights of others.
- Use the platform for commercial activities unless otherwise agreed by contract with Ufleex.
- Engage in any activity that may disrupt or inhibit the functioning of the platform.
Disclaimers
Ufleex does not guarantee the accuracy, reliability, safety, or completeness of the content on the platform or the services provided. Ufleex assumes no responsibility for any errors, omissions, interruptions, or failures in the platform or services. Ufleex is not liable for any loss or damage resulting from the use of the platform or services.
Limitation of Liability
You agree to defend, indemnify, and hold Ufleex harmless from any claim, demand, action, damage, loss, cost, or expense, including reasonable attorneys' fees, arising out of or relating to your use of the platform or services.
Termination and Suspension
Ufleex may suspend or terminate your access to the platform at any time, with or without notice, for any reason
Governing Law
These T&Cs shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflicts of law principle
